You cannot do this with conditional formatting. Conditional formatting changes the format of the font/fill within the cell only. However, you can do this with a simple IF() formula.

You do not state what message should be displayed if the Order Value is equal to the Invoice Value, so I will assume it should say "Process the Invoice". One possible formula is this:

I have attached an example for you.
